By using Imprezzle, you agree to these Terms of Use. If you do not agree with any part of these terms, you must not use our service. These terms constitute a legally binding agreement between you and Imprezzle.
The Print Production Estimator generates approximations only. Always verify all calculations independently before providing quotes to clients or making financial commitments. Imprezzle is NOT liable for any financial losses arising from estimate inaccuracies.

By accessing and using Imprezzle ('the Service'), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Use, please do not use the Service. We reserve the right to modify these terms at any time, and such modifications shall be effective immediately upon posting.
Imprezzle provides a comprehensive platform for print shop management, including but not limited to project management, invoicing, team collaboration, print cost estimation, and document management. The Service is provided 'as is' and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

Imprezzle is the exclusive proprietary property of Pionero Publications, a registered business entity operating under the laws of the Federal Republic of Nigeria. The Imprezzle platform, including but not limited to its name, logo, design, source code, object code, software architecture, algorithms, user interface, visual design elements, documentation, databases, and all associated intellectual property, is protected by Nigerian copyright law, international copyright treaties, trademark law, patent law, and other intellectual property rights and laws. NO PART of the Imprezzle application, including but not limited to its software code (frontend and backend), database structures, API endpoints, algorithms, business logic, design elements, graphics, icons, audio, video, text content, documentation, user interface designs, trade dress, or any other materials or content accessible through the Service, may be: (a) Reproduced, duplicated, copied, or replicated in any form or by any means; (b) Sold, resold, licensed, sublicensed, distributed, or redistributed for commercial or non-commercial purposes; (c) Modified, adapted, translated, reverse-engineered, decompiled, disassembled, or otherwise attempted to derive source code from; (d) Used to create derivative works, competing products, or similar applications; (e) Publicly displayed, performed, transmitted, or otherwise exploited for any purpose; WITHOUT THE EXPRESS PRIOR WRITTEN PERMISSION of Pionero Publications. Any unauthorized use, reproduction, modification, distribution, or exploitation of any part of Imprezzle constitutes a violation of copyright law and other intellectual property rights and may result in severe civil and criminal penalties under Nigerian law, including but not limited to the Copyright Act 2022, Cybercrimes (Prohibition, Prevention, etc.) Act 2015, and applicable international treaties. Pionero Publications reserves all rights.
The Print Production Estimator tool ('Estimator') is provided as a computational aid for informational and estimation purposes only and does NOT constitute professional advice, final quotations, or binding cost calculations. YOU ACKNOWLEDGE AND AGREE THAT: (a) All estimates generated are approximations based on input parameters and standard industry formulas; (b) PRICE VOLATILITY WARNING: Print material prices, paper costs, ink costs, and related supplies in Nigeria are subject to FREQUENT and ONGOING market fluctuations due to currency exchange rates, supply chain disruptions, import duties, economic conditions, and supplier pricing changes. Prices in our database may NOT reflect current market rates at the time you generate an estimate; (c) MARKET VERIFICATION REQUIRED: You MUST independently verify current market prices directly with your suppliers, material vendors, and distributors before providing any quotations to clients or making financial commitments. Our database prices are reference points only and should NOT be relied upon as current market rates; (d) TIME-SENSITIVE ESTIMATES: All estimates are valid only at the date and time of generation and become outdated as market conditions change. You are solely responsible for assessing whether an estimate reflects current pricing conditions. DO NOT reuse old estimates without re-verifying current market prices; (e) Actual production costs may vary significantly based on numerous factors including but not limited to: material availability, supplier pricing fluctuations, currency exchange rates (particularly USD/NGN fluctuations affecting imported materials), equipment specifications, production conditions, waste factors, labor costs, transportation costs, inflation, and prevailing market conditions; (f) You are solely responsible for independently verifying ALL calculations, parameters, and cost estimates before using them for business decisions, client quotations, or financial commitments; (g) The Estimator tool is provided 'as is' without any warranty of any kind, express or implied. Pionero Publications does not warrant that the Estimator tool will be error-free or that it will meet your specific requirements.
The Invoice & Billing features are provided as business management tools. While we strive for accuracy in calculations, YOU ARE RESPONSIBLE FOR: (a) Verifying all invoice amounts, tax calculations, and currency conversions; (b) Ensuring compliance with local tax laws and accounting standards; (c) Maintaining accurate financial records independently; (d) Consulting with qualified accountants or financial advisors for tax and accounting matters. Imprezzle is not responsible for any tax liabilities, penalties, interest, or financial losses arising from invoice generation, tax calculations, or payment processing errors.
To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
Imprezzle offers various subscription plans with different features and pricing. By subscribing to a paid plan, you agree to pay all fees associated with your chosen plan. Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law. We reserve the right to change our pricing with 30 days' notice to existing subscribers.
You retain all rights to the content and data you upload to the Service ('User Content'). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your User Content solely for the purpose of providing and improving the Service. You are solely responsible for your User Content and the consequences of posting or publishing it.
You agree not to use the Service to: (a) upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable; (b) impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity; (c) upload, post, or transmit any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights; (d) upload, post, or transmit any unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation; (e) interfere with or disrupt the Service or servers or networks connected to the Service.
The Service and its original content, features, and functionality are owned by Imprezzle and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.
The Service may contain links to third-party websites or services that are not owned or controlled by Imprezzle. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by your use of any such content, goods, or services available through such websites or services.
We implement industry-standard security measures to protect your data, including 256-bit SSL encryption, regular security audits, and secure data centers. However, no method of transmission over the Internet or electronic storage is 100% secure. While we strive to protect your personal information, we cannot guarantee its absolute security. Please refer to our Privacy Policy for detailed information about how we collect, use, and protect your data.
We strive to maintain 99.9% uptime for the Service, but we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We provide customer support via email for all users, with priority support for Professional and Business plan subscribers. Support response times vary by plan and are detailed in our pricing page.
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to the Service until the end of your current billing period.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE CONSUMER PROTECTION ACT 2019 AND CONTRACT ACT OF NIGERIA: (a) THE SERVICE IS PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR UNINTERRUPTED SERVICE; (b) IN NO EVENT SHALL IMPREZZLE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: (i) Loss of profits, revenue, business opportunities, or contracts; (ii) Loss of data, goodwill, or business reputation; (iii) Cost of procurement of substitute goods or services; (iv) Business interruption or work stoppage; (v) Financial losses resulting from inaccurate estimates, calculations, or information provided through the Service; (vi) Losses arising from client disputes, contract breaches, or business relationships; (vii) Any other economic or commercial losses of any kind, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT IMPREZZLE WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; (c) OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE LESSER OF: (i) The total subscription fees you paid to Imprezzle in the twelve (12) months immediately preceding the event giving rise to liability; OR (ii) FIFTY THOUSAND NAIRA (₦50,000.00); (d) SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW; (e) YOU ACKNOWLEDGE THAT THE FEES YOU PAY REFLECT THE ALLOCATION OF RISK SET FORTH IN THIS AGREEMENT AND THAT IMPREZZLE WOULD NOT ENTER INTO THIS AGREEMENT WITHOUT THESE LIMITATIONS ON LIABILITY.
You agree to defend, indemnify, and hold harmless Imprezzle, its parent company Techilio, and their respective affiliates, directors, officers, employees, agents, contractors, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) arising from or relating to: (a) Your use of or inability to use the Service; (b) Your violation of these Terms or any applicable law or regulation; (c) Your violation of any third-party rights, including without limitation any intellectual property, privacy, or proprietary right; (d) Any claim that your User Content caused damage to a third party; (e) Any business decisions, quotations, or commitments made based on information, calculations, or estimates provided by the Service, including but not limited to the Print Estimator; (f) Any disputes between you and your clients, suppliers, or business partners arising from or related to your use of the Service; (g) Any financial losses, penalties, or liabilities incurred due to pricing errors, calculation mistakes, or inaccurate estimates; (h) Your breach of any contractual obligations to third parties based on information from the Service. This indemnification obligation shall survive termination of these Terms and your use of the Service.
Imprezzle and its Service do not provide professional advice of any kind, including but not limited to: financial advice, accounting advice, tax advice, legal advice, or business consulting services. No attorney-client, accountant-client, or professional advisory relationship is created by your use of the Service. The information, tools, and features provided are for general informational purposes only. You should consult with qualified professionals (accountants, attorneys, business advisors, financial consultants) before making any business, financial, or legal decisions. Reliance on any information, calculations, or recommendations provided by the Service is strictly at your own risk.
Imprezzle shall not be liable for any failure or delay in performance of the Service due to causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, accidents, strikes, labor disputes, shortages of materials or transportation facilities, failure of telecommunications or internet service providers, power outages, cyberattacks, government regulations or restrictions, pandemics, or any other events beyond our reasonable control. During any such period, our obligations under these Terms shall be suspended.
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good faith negotiations between the parties for a period of thirty (30) days. If negotiations fail, disputes shall be resolved through binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18 LFN 2004) of Nigeria. The arbitration shall be conducted by a single arbitrator mutually agreed upon by both parties. The decision of the arbitrator shall be final and binding. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, such provision shall be severed from these Terms. The remaining provisions shall continue in full force and effect. No waiver by Imprezzle of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Imprezzle regarding the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and Imprezzle. You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice to you.
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect through email notification to your registered email address and prominent notice on the Service. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service and may cancel your subscription.
